You acknowledge and agree that, by registering as a member or using the Viz4D Service in any way, you agree to accept our "Terms of Service" and "Privacy Policy" and "Cookie Policy", forming a legally binding contract between you and Viz4D. You also acknowledge that you have read and understand our privacy policy available at https://viz4d.com/privacy. Viz4D's "Privacy Policy", which explains how we use your personal data is considered part of this "Terms of service". By using the Services, you agree that your information may be collected and used in accordance with our "Privacy Policy" and this "Terms of service". If you do not accept these terms and all additional terms may apply, then you have no right to access or use any of our services.

Viz4D reserves the right, at its sole discretion, to amend the Terms at any time by posting a notice on this page. Such modifications shall become effective immediately upon the posting thereof. Therefore, you should visit this page periodically for updates. Your continued use of the Services after any such updates and amendments shall constitute your agreement and acceptance to that amended Terms.

To use Viz4D Services you must represent and warrant that you are over 18 years old or, if you are above 13 and below 18 years of age, you are an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to abide by and comply with the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement. This provision is void where prohibited by law and the right to access the Services is revoked in such jurisdictions.
By using the Services, you state that: you can form a binding contract with Viz4D; and you will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
If you are using the Services on behalf of a business or some other entity, you state that you are authorized to grant all licenses set out in these Terms and to agree to these Terms on behalf of the business or entity.

You represent and warrant that you have the legal right to use the Paddle account, and any bank accounts or credit card accessed through the Paddle account, that you use to pay for the service. You agree to pay all charges incurred by you or any users of your account at the prices in effect when such charges are incurred. You will also be responsible for paying any applicable taxes relating to your purchases. Verification of information applicable to a purchase may be required prior to our acceptance of any order.
If you are using the Services on behalf of a business or some other entity, you state that you are authorized to grant all licenses set out in these Terms and to agree to these Terms on behalf of the business or entity.
Plan options and prices of all Services are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Viz4D website (Viz4D.com) or the Services.
Technical support for the Services is only provided to paying account holders and is available via email and/or live chat (depends on plan). Support is available in English and Vietnamese.
If the Services are subject to taxes, fees, or charges, Viz4D may charge you for those taxes, fees, and charges in addition to the cost of the Services (collectively, “Charges”), and you agree to pay Charges at the rates in effect when incurred.

You can change your Plan at any time in Account Settings. As soon as you finish paying for the new Plan, any changes will happen immediately:

• All benefits and features will follow the new Plan.
• The expiry date is reset based on the new payment date.
• The previous Plan's unused triangles will be rolled-over to the new Plan. The previous Plan's unused Credits can be used during the first 15 days of your next Plan. If your old Plan expires and you still don't purchase a new Plan, your remaining Credits will also expire instead of rolling over. We do not generate any refunds when you change your Plan.

Changing your Plan may affect the Active scene capacity of your account. Viz4D does not accept any liability for such loss.
Plan expires:
If you do not purchase a new Plan when the old Plan has expired, your account will automatically go into a waiting period with the same features as the FREE Plan. There are only 5 Active scenes in the FREE plan, all other scenes will be stored in Inactive mode (viewable only by account Owners).
FREE accounts after 24 months of inactivity might be permanently deleted from the system. Before your data is completely erased, you can always purchase a plan to maintain all your scenes and reset the 24 months counter.

By using the Services, you agree that, in addition to exercising common sense:

• You will provide a valid email address, and any other information requested in order to complete the signup process.
• You are responsible for maintaining the security of your account and password.
• You are responsible for all content posted and activity that occurs under your account (even when content is posted by others who have accounts under your account plan).
• You will not create another account if we have already disabled your account, unless you have our written permission to do so.
• You will not register any accounts by non-humans, "bots" or other automated methods as such methods are expressly prohibited.
• You will not use your account for any illegal or unauthorized purpose.

Viz4D retains the right at any time to deactivate, reallocate or rename your username at its sole discretion. We reserve the right to terminate the accounts of any Service User who has been notified of infringing activity more than twice.

Use of Viz4D within advertisements, marketing or advertiser-supported content requires the license of BUSINESS, BRAND or ENTERPRISE plan, using FREE and DESIGNER plan for these purposes are prohibited.

+ Delete account:
You can terminate these Terms and your use of the Services at any time and for any reason by deleting your account. Such delete will take effect and access to your account will end immediately (the “Cancellation Effective Date”) and you will not be entitled to a refund. Upon the Cancellation Effective Date all of your content will be permanently deleted from the Services and cannot be recovered by you or Viz4D.

Viz4D grants you (as a permitted user) a limited, revocable, non-exclusive, non-transferable, non-sub-licensable license to access and use the Services in accordance with these Terms, and in compliance with all applicable laws. Use of our Service beyond the scope of authorized access granted to you by these Terms immediately terminates that license. You are solely responsible for ensuring that your use of the Service is in compliance with the laws of your specific jurisdiction.
The license granted to you is subject to the following restrictions, as well as others listed in these Terms:
You may not, nor may you cause or assist another to:

• Download, copy any Content for any purpose without express prior written permission from Viz4D.
• Decompile, reverse engineer or attempt to extract the source code of the software used in our Services.
• Reproduce, duplicate, copy, sell, resell, lease, or exploit any portion of the Services (including any portion of the code or visual design elements or concepts), without the express written permission by Viz4D.
• Modify, create derivative works from, or disassemble this Service for any reason whatsoever, including for the purpose of creating competitive products or services.
• Resell any Content or include any Content in or with any product that you create or distribute.
• Use this Service in any manner that could damage, disable, overburden, impair, interfere with the security of, negatively affect the functioning of, or otherwise abuse, this Service or any other services, system resources, accounts, servers, networks, affiliated or linked sites connected to or accessible through this Service (including without limitation uploading, posting or otherwise transmitting on this Service any computer viruses, trojan horses, worms or other files or computer programs which are potentially harmful, disruptive or destructive or that may impose an unreasonable or disproportionately large load on the infrastructure of this Service).
• Use any robot, spider or other automatic program or device, or manual process to monitor, copy, summarize, or otherwise extract information from this Service or the Content in whole or in part.
• Use this Service in any manner that may dilute or depreciate our name or reputation, trade names or trademarks or those of our affiliates or associates.
• Attempt to circumvent any content-filtering techniques we employ, or attempt to access areas or features of the Services that you are not authorized to access.
• Interfere with any other persons use and enjoyment of this Service or of the Internet generally.
• Solicit login credentials from another user.
• Use the Services for purposes other than those for which they were designed.

The User is not permitted to modify the design or alter the appearance of the Viz4D viewer (e.g., in embeds or screen recording, screen capture) other than by using the available embed customization options and according to the User’s plan (DESIGNER, BUSINESS or BRAND). Removing, hiding, or altering the Viz4D logo watermark is prohibited to all users, under all plans except BRAND,BUSINESS or ENTERPRISE.

Except as expressly permitted in these Terms, you may not reproduce, distribute, adapt, modify, translate, create derivative works from, publish or otherwise use any portion of the Services or Viz4D Content for any purpose without express prior written permission from us or the applicable rights holder. Any commercial exploitation of the Services or Viz4D Content without express prior written permission from us or the applicable rights holder is strictly prohibited.
We reserve all rights not expressly granted to you.

You agree that you will not use the Services to post, share, submit or upload content (including User Original Content), that:

• Abuse (whether verbally, physically, or in writing) or threaten to abuse (including actual or threatened retribution) any Viz4D customer, employee, member, or officer.
• Promote any illegal activity, or advocate, promote or assist any unlawful act.
• Upload, post, host, or transmit unsolicited email, SMSs, or “spam” messages.
• Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with this Term of Use and our Privacy Policy.
• Employs misleading information, such as email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of content transmitted through our Service.
• Transmit any material or content that is pornographic, dehumanizing, threatening, harassing, libelous, hate-oriented, harmful, defamatory, racist, xenophobic, or illegal.
• Transmit material or content that promotes, provides, or relates to instructional information about illegal activities or promotes physical harm or injury against any individual or group.
• Transmit or encourage the transmission of any material that may infringe the intellectual property rights or other rights of third parties, including trademark, copyright, patent, or right of publicity, or which otherwise constitutes or promotes counterfeit materials or goods.
• Harass, bully, defame or threaten any person, or promote self-harm.
• Encourage or promote any activity that violates these Terms.

Notwithstanding anything else contained herein, we reserve the right to refuse to provide access to our Service to anyone at any time for any reason, without any notice or liability. To the extent you are in breach of your obligations under these Terms, we may investigate occurrences which may involve violations of such laws and cooperate with law enforcement authorities in prosecuting users who are involved in such violations. We reserve the right at all times to disclose any information (including without limitation your personal information or your identity) regarding your usage of this Service (including any perceived violations of applicable law), in each case as may be permitted by or required to satisfy applicable law.

We claim no ownership of intellectual property rights in the material and content you provide to or through the Services or any other third party. Your profile and the materials and content uploaded by you remain yours. Including all content of "Users and collaborators authorized by the user" uploaded or attached, such as: Original 3D scenes, textures, maps, lightmaps, luts, animations, comments, documents, images, videos, audio, URLs…

Ownership is attached to your uploaded original 3D scene and security is assured by the fact that the user's uploaded original 3D scenes are automatically deleted from our servers after processing. (7 days after we finished processing and you agreed to publish, your original 3D scene will be permanently deleted from the system).

The 3D scenes published on the service (or website Viz4D) are fully simplified, compressed, transformed versions generated by Viz4D and are part of Viz4D Content. The right to exploit data after processing belongs to the account owner: the owner has full right to access, edit, delete, grant access... to their interactive scenes, if not violating this Terms of Service.

You are solely responsible for the content of, and for any harm resulting from, any content that you post, upload, link to or otherwise make available via the Service (your “User Original Content”), regardless of the form of that Content. We are not responsible for any public display or misuse of your or any other user’s User Original Content.
You represent and warrant to us that you own, or you have obtained all licenses or permissions from any necessary parties, to use User Original Content that you submit to Viz4D and that the User Original Content violates no intellectual property or personal right of others or any applicable law or regulation.
You accept full responsibility for avoiding infringement of the intellectual property or personal rights of others or violation of laws and regulations in connection with your User Original Content. We do not pre-screen User Original Content, but we have the right (though not the obligation) to refuse or remove any User Original Content that, in our sole discretion, violates any of our terms or policies.

Although Viz4D does not claim ownership of content that its users post on our Service, by uploading, posting content to our Service, you automatically grant, and you represent and warrant that you have the right to grant, to Viz4D an non-exclusive, royalty free, fully paid up, irrevocable, perpetual, worldwide license to use, optimize, create a derivative, modify, copy, reproduce, train, adapt, modify, publish, perform, display, store, distribute, translate, communicate and make available to the public, and otherwise use in connection with the operation or use of the Service, your User Original Content, and create compilations and derivative works from such content, as part of our Service or otherwise.

You further grant Viz4D the right to use your name and trademarks, if any, in connection with our use of your publicly shared User Original Content. To the greatest extent permitted by law, You hereby irrevocably and unconditionally waive any and all moral rights whatsoever, or any rights of a similar nature, in your User Original Content, including any right to restrict or prevent the modification or use of your User Original Content in any manner whatsoever (right of integrity). To the extent You retain any such moral rights under applicable law, You hereby agree not to assert them against Viz4D, its affiliates or other Viz4D users in any manner whatsoever.

You are solely responsible for your User Original Content on applicable laws, including but not limited to any third party intellectual property and privacy rights. You agree that any information included in your Original may be used in accordance with our Privacy Policy. Viz4D always has the right, in its sole discretion, to accept or reject any given User Original Content.

By submitting User Original Content, you represent and warrant that :

• You own and otherwise control all of the rights to your User Original Content.
• Viz4D will not need to obtain licenses from any third party or pay royalties to any third party.
• The use of your User Original Content does not violate this "Terms of use" or the law, and will not violate any rights of or cause injury to any person or entity.
• You agree that you bear all risks associated with your User Original Content. You are solely responsible for safeguarding your User Original Content, and Viz4D has no duty to store copies of User Original Content.
• If properly notified that User Original Content infringes on the intellectual property rights of others, Viz4D will first hide and may then delete User Original Content from the Service. We reserve the right to remove or hide User Original Content from the Service, in whole or in part, without prior notice, for any reason or no reason at all.
• We may moderate, edit, modify, reformat, change or remove all or part of the descriptions, comments and/or comments that You and/or third parties add and/or conduct in connection with your User Original Content, in any way we may identify, whenever we find it appropriate.
• Viz4D does not pre-screen content, but may do so at its sole discretion. Viz4D may, but has no obligation to, remove or suspend content and accounts containing content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms. If necessary, we may also remove content to comply with our legal obligations.

You acknowledge and agree that Viz4D may disclose your User Original Content and related information if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:

• Comply with legal process, applicable laws or government requests;
• Enforce these Terms.
• Respond to claims that any of your User-Generated Content violate the rights of third parties;
• Detect, prevent, or otherwise address fraud, security or technical issues; or
• Protect the rights, property, or personal safety of Viz4D, its end users, or the public.

You agree to inform Viz4D promptly about any legal complaint, claim or action related to the User Original Content you have uploaded using the Services.

Includes all of the derivative 3D models (simplified, transformed, compressed versions), textures, UV, lightmaps, videos, images, audio, LUT, post-processing… were created by switching the presentation form, transformations, optimized from the original 3D scene, elements, software, applications, functions, images, text, information, data, audio, video, graphics and other material included on or otherwise made available through the Services, excluding User Original Content.
The 3D scenes published on the service (or website Viz4D) are fully simplified, transformed, compressed versions generated by Viz4D and are part of Viz4D Content. (They are just low-poly versions that have been optimized to slightly distorted levels, completely removing the original material structure and lighting settings. Every texture in the scene has been reduced in size, completely distorting the color and format so that they cannot be reused elsewhere).

Viz4D Content is owned by Viz4D or its licensors, and is protected by international copyright laws, trademark laws and/or other proprietary rights and laws. Viz4D and its licensors own all right, title and interest ( including but not limited to any and all copyrights, trademark rights, trade secret rights, patent rights, database rights and other intellectual property and proprietary rights therein. in each case whether registered or unregistered, and related goodwill) in and to the Service. Your use of the Services does not grant you any ownership over any Viz4D Content, and except for the limited license we grant you under this Agreement, your use of the Services does not grant you any license or permission under any copyright, trademark or other intellectual property rights of Viz4D, or any third party.

All portion of code (like HTML, CSS, Javascript, GLSL, WASM...) or visual design elements or concepts, software and software-as-a-service (SaaS) used in connection with the Services is proprietary to us or to third parties, and except as may be required to exercise the foregoing license grant, any use, redistribution, sale, decompilation, deobfuscate, reverse engineering, unpack, disassembly, translation or reduction of such software to human-readable form is prohibited. You agree that we may update all Software without notice, at any time and at our sole discretion, and that these Terms will apply to any updated versions.

You agree that this agreement includes the right for Viz4D to make Viz4D Content available to other users, companies, organizations, business partners, or individuals who collaborate with Viz4D for the syndication, broadcast, communication and making available to the public, distribution or publication of Viz4D Content on the Service or through other media or distribution methods. This license also includes the right for other users of the Service to use, copy, reproduce, adapt, modify, create derivative works from, publish, transmit, display, and distribute, translate, communicate and make available to the public of Viz4D Content, subject to these Terms.

We reserve all rights not expressly granted to you in this Term of Use.

Nothing in these Terms shall be construed as forming a partnership or joint venture between Viz4D and you. Neither party to these Terms will have the authority to bind the other by contract or otherwise, or make any representations on behalf of the other. You acknowledge that Viz4D is acting independently from you, and that Viz4D will not be deemed, under any circumstances, to be your employee or agent for any purpose.

The trademark Viz4D and all associated logos and the other trademarks, service marks, logos and trade names displayed on or in connection with the Services are the registered and unregistered trademarks and service marks of Viz4D or third parties in every country. Your use of the Services does not grant you any license or permission under any copyright, trademark or other intellectual property rights of Viz4D, Inc. or any third party. You may indicate that your application, technology or feature developed or distributed by you that incorporates the Service (an “Application”) is “Powered by Viz4D” or “Viz4D powered”. However, unless provided in an agreement between you and Viz4D, you may not otherwise use “Viz4D” or any other trademark of Viz4D in connection with your Application or company, or in any URL, product, service, name field or logos created by you.
We welcome you to link to this Service. However, you agree that if you link to this Service your website shall not:

• Alter the visual presentation of this Service
• Imply that Viz4D is endorsing you or any other person, or your or such other person’s products or services
• Imply an affiliation between you or any other person, or your or such other person’s products or services, and Viz4D without the prior written consent of Viz4D
• Misrepresent the relationship of you or any other person with Viz4D or present false, misleading or otherwise damaging information or impressions about Viz4D or any of its products or services

You acknowledge and agree that in no event will Viz4D provide any form of remuneration for any links you may make to this Service.
We reserve all rights not expressly granted to you in this Term of Use

If you submit ideas, drawings, recipes, suggestions, comments, or similar information to Viz4D, whether through our Service or otherwise, you do so with no expectation of confidentiality and with no expectation that you have any proprietary interest in the content of your submissions.
You agree that the content of your submissions will immediately become the property of Viz4D. You also recognize that your submissions may be used or developed by or on behalf of Viz4D or its affiliates without any obligation to you.

We respect copyright law. We therefore take reasonable steps to expeditiously hide or remove from our Services any infringing material that we become aware of. And if Viz4D becomes aware that one of its users has repeatedly infringed copyrights, we will take reasonable steps within our power to terminate the user’s account.
We make it easy for you to report suspected copyright infringement. If you believe that anything on the Services infringes a copyright that you own or control, please contact us immediately at [email protected] and include the following information:

• The physical or electronic signature of a person authorized to act on behalf of the copyright owner.
• Identify the copyrighted work claimed to have been infringed.
• Identify the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed, or access to which is to be disabled, and information reasonably sufficient to let us locate the material.
• Your contact information, including your address, telephone number, and an email address; a personal statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Access and use of our Service may be subject to limitations, delays and other problems inherent in the use of the Internet, electronic communications and 3D data processing in the cloud. Viz4D is not responsible for any delays, delivery failures, or other damage resulting from such problems, or from the unavailability of our Service for any reason. Viz4D does not representations or warranties of any kind regarding the Services or the Viz4D Content.
Viz4D guarantees only one thing: If the scene processing fails due to Viz4D's technical reasons and cannot be fixed in Viz4D Editor, your scene will be reprocessed free of charge.
You expressly agree that your use of the Services is at your sole risk. The Services are provided "as is" and "as available" for your use, without warranties of any kind, either express or implied, unless such warranties are legally incapable of exclusion. Viz4D expressly disclaims any and all representations and warranties, whether express or implied, including:

• All warranties of merchantability, fitness for a particular purpose, operability on any mobile device, title, non infringement, and any and all warranties arising from the course of dealing and usage of trade.
• That the services, website and the Viz4D Content will meet your requirements, will always be available, accessible, uninterrupted, timely, secure or operate without error;
• That any content or information you obtain through the services will be timely or accurate. No advice or information obtained by you from Viz4D or otherwise through the Services, will create any warranty not expressly stated herein.

If the law of the country where you live does not allow the exclusions of liability provided for in this clause, those exclusions shall not apply.
Viz4D and its affiliates take no responsibility and assume no liability for any content that you, another user, or a third party creates, uploads, posts, sends, receives, or stores on or through our services publicly or privately. you understand and agree that you may be exposed to content that might be offensive, illegal, misleading, or otherwise inappropriate, none of which Viz4D nor our affiliates will be responsible for.
Nothing in these terms will exclude or limit any responsibility we may have to remove content if so required by the law of the country where you live.

The Services may contain links and features that enable you to access other third-party websites or services ("Third-Party Services") that are available over the Internet. Such Third-Party Services are governed by their own terms of use. Viz4D does not control Third-Party Services, and we are not responsible for the contents of any linked site. You agree that it is your responsibility to review and evaluate any such content, and that any and all risk associated with the use of, or reliance on, such content rests with you. You are responsible for viewing, accepting and abiding by the Terms and privacy policies posted at these third party websites. Inclusion of a link to Third-Party content does not imply endorsement of, sponsorship of, or affiliation with the Third-Party Services by Viz4D of such content. You further agree that Viz4D shall not be liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with your use of, or reliance on, any third party websites or content. Viz4D may in no circumstances be held liable for the technical availability of Third-Party Services, the content, advertising, products and/or services available on Third-Party Services, or any transactions that take place between a User and Third-Party Services whom the User has been directed via the Services.
Viz4D may in no circumstances be a party to any disputes whatsoever between you and third parties concerning Third-Party Services.

You agree to indemnify, defend, and hold harmless Viz4D, its affiliates, and their respective directors, officers, employees, affiliates, subsidiaries and agents, from and against any claim, demand, action, class action, investigation or other proceeding, including but not limited to all damages, losses, liabilities, judgments, costs and expenses (including attorneys’ fees) arising therefrom (“Claims”), brought by any third party that is based on, or arises out of: (a) your activities on or use of the Service; (b) your violation, or apparent violation, of any of these Terms; or (c) any allegation that any material you submitted to Viz4D violates any law or infringes any third party right, including any intellectual property or privacy right. You shall not settle any Claim unless such settlement completely and forever releases Viz4D from all liability with respect to such Claim or unless Viz4D consents to such settlement in writing.

Viz4D and our affiliates, directors, officers, stockholders, employees, licensors, suppliers, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or multiple damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, content, use, goodwill or other intangible losses, resulting from:

• Your use of the services or inability to use the services.
• Your access to or inability to access the services.
• The conduct or content of other users or third parties on or through the services; or unauthorized access, use or alteration of your content. In no event will Viz4D or our affiliates aggregate liability for all claims relating to the services shall not exceed the total amounts paid by you to Viz4D over the six (6) months preceding your claim(s) (up to a maximum of USD 500)'

If the law of the country where you live does not allow any limitation of liability provided for in this clause, that limitation will not apply.

Viz4D reserves the right to modify ( add or remove features, products or functionalities to the Services) or stop offering all or part of the Services at any time, at its own discretion, in which case we will provide you with 30 days notice.
If you breach any provision of these Terms, the law, and/or is harmful to other users, to Viz4D, to other service or information providers, or to any third parties, then you may no longer use this Service. We, in our sole discretion, shall determine whether these Terms have been violated. You agree that we may, in our sole discretion, modify, change, cancel, terminate or suspend your account with or without notice.
Upon termination or suspension of your account, regardless of the reasons therefore, your right to use this Service immediately ceases, and you acknowledge and agree that you will not be entitled to a refund, we may immediately deactivate or delete your account and all related information and files in your account and/or ban any further access to such files or this Service. We shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by us in connection with such termination or suspension.
After any termination and/or after you otherwise stop using the Services, Your liability in these Terms will survive and remain enforceable and in full force and effect:

• All outstanding obligations between you and us
• All your remedial liability for a breach of these Terms.

These Terms constitute the entire agreement between you and Viz4D regarding your use of our Service, superseding any prior agreements between you and Viz4D. These Terms do not create or confer any third-party beneficiary rights. If we do not enforce a provision in these Terms, it will not be considered a waiver. These Terms and the relationship between you and Viz4D shall be governed by the laws of Vietnam without regard to its conflict of law provisions. You and Viz4D agree to submit to the non-exclusive jurisdiction of the courts located in Hanoi. The failure of Viz4D to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
